Terms of service

1. General Provisions

These Terms and Conditions govern the use of the website www.sartex.eu and the processing of orders placed via the platform. The website is owned by SARTEX SRL, with registered office at Via delle Gallarane 10/12, 22046 Merone (CO), VAT No. 00079160131.

Access to the website and the submission of orders imply full acceptance of these terms and conditions. The service is reserved exclusively for Professional Customers (B2B) (retailers, wholesalers, companies) and not for end consumers.

2. Nature of the Service and Ordering Procedure

The website serves as an online catalogue and a tool for collecting order proposals. Submitting an order via the website does not constitute an immediately binding sales contract, but rather a purchase proposal.

The procedure is as follows:

  1. Submitting a Request: The Customer selects the products and submits the request via the website’s checkout process. At this stage no payment is required.

  2. Processing: SARTEX receives the request and checks the availability of the goods, the prices and the terms and conditions applicable to the specific Customer.

  3. Order Confirmation: SARTEX sends the Customer, via email, a final Order Confirmation (or Proforma Invoice). This document will contain a detailed summary of the available goods, the confirmed prices, the transport costs and the agreed payment terms.

  4. Conclusion of the Contract: The sales contract is deemed concluded only upon acceptance (explicit or tacit, depending on the agreements) of the Order Confirmation sent by email by SARTEX.

3. Prices and Availability

The prices shown on the website are exclusive of VAT (unless otherwise explicitly stated). Although SARTEX undertakes to keep the online price lists up to date, the prices displayed on the website may be subject to change. The final and binding price is exclusively that stated in the Order Confirmation sent by email following the online request.

4. Payment Methods

The website www.sartex.eu does not process payments in real time. The payment terms (e.g. Bank Transfer, Ri.Ba., Direct Remittance, etc.) are those agreed privately between SARTEX and the Customer and will be stated in the Order Confirmation/Invoice. Failure to comply with the agreed payment terms will entitle SARTEX to suspend any ongoing supplies.

5. Shipping and Delivery

Shipping costs are not calculated automatically by the website at checkout, as they vary according to volume, weight and specific commercial agreements with the Customer. Transport costs, delivery times and the terms of delivery (e.g. carriage paid, carriage forward) will be specified in the Order Confirmation sent by email.

SARTEX shall not be liable for delays due to force majeure or courier service disruptions, unless otherwise agreed in writing.

6. Right of Withdrawal and Returns

As this is a business-to-business (B2B) transaction, the unconditional right of withdrawal provided for consumers (Consumer Code) does not apply. Any complaints regarding the goods (defects, non-conformity or shortages) must be reported in writing to sartex@sartex.eu no later than 8 days from receipt of the goods. Returns must be authorised in advance by SARTEX. Goods returned without authorisation will not be accepted.

7. Applicable Law and Jurisdiction

The sales contract between the Customer and SARTEX is deemed to have been concluded in Italy and is governed by Italian law. For any civil or criminal dispute arising from the conclusion of this sales contract, exclusive jurisdiction lies with the Court of Como.
